Course Content

Global business materializes in various forms such as International Alliances, Foreign Direct Investments and Mergers & Acquisitions (M&A).

This course deals with M&A in an international context. Practical frameworks are introduced to understand the challenges and value derived from M&A.

Content overview:

Part 1: Exploring M&A in practice – typology of different mergers and acquisitions with recent examples

Part 2: Preparing for the deal – Strategy formulation from corporate and financial buyers/sellers

Part 3: Making the deal – From targeting to Due Diligence to Valuation to Negotiation

Part 4: Implementing the deal – Change management and Transformation

The course’s unique feature is its setup as a ‘practitioners’ guide’ with real life examples of deal tools such as the Information Memorandum, Deal Q&A list,  Due Diligence Reports, Valuation, Shareholders Purchase Agreement.

Complementary to the lectures, students further acquaint themselves with the study topic through short homework assignments and self-study material.

The course includes a mix of lectures and self-study. Individual insights from self-study are further explored in class.

General Competences

Main objective is to understand the challenges and value derived from M&As using practical frameworks. The course sharpens the critical mindset in the field of global M&A.

By the end of the course, the participants should be able to:

·       To take different perspectives (financial or strategic buyer or seller)

·       Build up the strategic rational behind M&A

·       Structure the deal process

·       Know the pitfalls, know the success factors of a successful M&A

Grading

The final grade is composed based on the following categories:
Written Exam determines 100% of the final mark.

Within the Written Exam category, the following assignments need to be completed:

  • Written Exam with a relative weight of 100 which comprises 100% of the final mark.
